WHOLESALE TERMS AND CONDITIONS

These Wholesale Terms and Conditions ("Agreement") apply to all local and international wholesale purchases from Cynthia Abila Studios ("the Brand," "we," "us," or "our"). We value thoughtful partnerships and craftsmanship-led collaboration. By placing a wholesale order, you confirm that you have read, understood, and agreed to the terms below.

1. Wholesale Eligibility

Wholesale purchasing is available to approved local and international retailers, boutiques and stockists. Submission of a wholesale inquiry does not guarantee approval. We reserve the right to approve or decline applications at our discretion to protect brand alignment and production capacity.

2. Minimum Order Quantity (MOQ)

  • The minimum order quantity is 10 pieces per style.
  • Orders may consist of mixed sizes unless otherwise agreed in writing.
  • Certain styles, capsules, or custom developments may require higher MOQs, which will be communicated prior to order confirmation.

3 Pricing

  • Wholesale pricing is shared upon approval of your wholesale account.
  • All prices are quoted in the currency stated on the invoice and are subject to change without prior notice.
  • Prices confirmed on an issued invoice are fixed for that specific order only.

4. Order Placement & Confirmation

  • All orders must be submitted in writing via email (studio@cynthiaabila.com) or an approved order form.
  • Orders are considered confirmed only upon receipt of full payment or agreed deposit, and written confirmation from the Brand.
  • Once an order enters production, no cancellations, reductions, or modifications can be accepted.

5. Payment Terms

  • Full payment is required upfront unless otherwise agreed in writing.
  • Payments must be completed within the timeframe stated on the invoice.
  • Production timelines commence only after payment has been received in full.
  • Buyers are responsible for all bank charges, transfer fees, and currency conversion costs.

6. Production Timeline

  • Production timelines are estimated at 2–3 months, depending on order volume, complexity, and fabric availability.
  • Timelines are estimates and not guarantees. There may be delays arising from sourcing, logistics, or circumstances beyond our control will be communicated promptly and do not constitute grounds for cancellation or refund.

7. Custom Sizing & Measurements

  • Custom sizing is available for wholesale orders upon request and must be agreed in writing prior to order confirmation.
  • All measurements provided by the Buyer must be accurate and final. The Brand is not responsible for fit issues resulting from incorrect or incomplete measurements.
  • Custom-sized items are non-returnable and non-refundable under all circumstances.

8. Fabric Availability & Substitution

  • All orders are subject to fabric availability at the time of production.
  • In the event that a selected fabric becomes unavailable, the Brand reserves the right to propose a suitable alternative of comparable quality, color, and value.
  • Buyer approval will be sought where possible; however, minor substitutions that do not materially alter the design or quality may be made to ensure timely production.

9. Shipping, Duties & Delivery

  • Shipping costs are not included unless explicitly stated.
  • Buyers are fully responsible for local and international shipping fees, customs clearance, duties, taxes, and import charges in their destination country.
  • Risk of loss transfers to the Buyer once the order is dispatched from our studio.
  • Delivery timelines are estimates and dependent on third-party courier performance.

10. Returns, Exchanges & Claims

  • All wholesale sales are final. Returns, refunds, and exchanges are not accepted.
  • Any claims regarding defects or damages must be submitted in writing within 48 hours of receipt, accompanied by clear photographic documentation.
  • Approved claims will be resolved at the Brand’s discretion through repair, replacement, or credit.

11. Quality & Craftsmanship Variations

  • Each piece is thoughtfully produced. Minor variations in color, texture, sizing, or finish may occur and are inherent to small-batch and artisanal production.
  • Such variations are not considered defects.

12. Intellectual Property

  • All designs, patterns, images, trademarks, and branding remain the exclusive intellectual property of Cynthia Abila Studios.
  • Unauthorized reproduction, imitation, or resale of designs beyond the agreed wholesale arrangement is strictly prohibited.

13. Marketing & Brand Representation

  • Buyers agree to represent the Brand in a manner consistent with its luxury positioning and values.
  • Use of brand images, logos, or campaign materials must align with approved guidelines or official assets provided by the Brand.

14. Confidentiality

Wholesale pricing, terms, production details, and communications are confidential and may not be disclosed to third parties without prior written consent.

15. Force Majeure

The Brand shall not be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, supplier disruptions, transportation delays, or government regulations.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, unless otherwise agreed in writing.

17. Acceptance of Terms

By placing a wholesale order, the Buyer confirms acceptance of these Wholesale Terms and Conditions in full.
